Private equity firm Thoma Bravo is set to acquire the company in a deal that will see shareholders receive a cash payment of $70.00 per share, offering a significant exit opportunity.
A major milestone for the transaction is anticipated on February 6, with the U.S. Office of the Comptroller of the Currency expected to grant its formal approval. This regulatory clearance would pave the way for the deal to officially close by mid-February 2026. Financing for the acquisition has already been secured through major banks Goldman Sachs and JPMorgan.

A primary driver behind the acquisition is Ceridian's strong market position, built on its successful pivot to cloud-based human resources solutions. Growth momentum continues, with over 4,100 businesses having already implemented Dayforce as a new management tool in 2026. The United States remains the core market, representing more than 63% of the customer base.
This transition to Thoma Bravo ownership will conclude the software provider's run as an independent entity. It marks a significant shift for the company, which completed its rebranding from Ceridian to Dayforce just two years ago. Following the expected regulatory approval next week, the integration into the financial investor's portfolio will be finalized. Subsequently, shareholders will receive the agreed-upon cash consideration of $70.00 per share.
