BASF approaches a critical day with Q1 earnings, a historic agri-business spin-off vote, and a €5.8B coatings sale to Carlyle, as cost savings offset weak demand.

The German chemical giant is barrelling toward a pivotal moment on April 30, when its quarterly earnings, a historic restructuring vote, and the final stages of a multi-billion-euro asset sale all collide. Investors are watching closely as the company attempts to navigate weak demand, currency headwinds, and an ambitious portfolio overhaul.

The Coatings Windfall Nears Completion

BASF expects to finalise the sale of its automotive coatings business to private equity firm Carlyle during the current quarter, pending regulatory clearance. The transaction is set to generate roughly €5.8 billion in pre-tax proceeds, with BASF retaining a 40% minority stake in the newly formed entity, which will be led by Jens Luehring. The European Commission is reviewing the deal and has set a decision deadline of May 18.

The cash injection will directly support the company’s ongoing capital return programme. A €1.5 billion share buyback is progressing as planned, with BASF having already repurchased nearly 19.5 million of its own shares by mid-April. The bulk of the coatings sale proceeds is earmarked for further buybacks, executives have indicated.

A Historic Spin-Off Vote

At the annual general meeting on April 30, shareholders will vote on a proposal to spin off the Agricultural Solutions division into a standalone subsidiary. This formal step is widely seen as a prerequisite for a potential initial public offering of the agri-business, which BASF is targeting for 2027. To bolster the unit ahead of any listing, the company is investing €40 million in Dutch seed production facilities.

Should investors sell immediately? Or is it worth buying BASF?

The vote represents one of the most consequential strategic decisions in BASF’s recent history, as the group sheds non-core assets while doubling down on its agricultural footprint.

Earnings Under the Microscope

The same morning, management will release first-quarter results, providing the first real test of the company’s 2025 outlook. BASF has guided for full-year operating profit of up to €7 billion, a figure that falls short of analyst expectations. Weak demand from Europe’s automotive and construction sectors continues to weigh heavily on performance.

Currency markets are adding further pressure. A soft US dollar is expected to shave as much as €200 million off first-quarter earnings, compounding the challenges from sluggish end-market demand.

Cost Savings Outperform, but Pricing Power Tested

On a brighter note, the company’s cost-cutting programme is running ahead of schedule. BASF has already achieved annual savings of €1.7 billion, €100 million more than originally targeted. These efficiencies are helping to cushion the blow from margin compression and volatile raw material prices.

To offset rising logistics costs and input price swings, BASF has announced price increases of up to 30% for its household and industrial cleaning products in Europe. The move underscores the delicate balancing act the company faces: passing on costs to customers without further dampening demand.

Dividend and Chart Dynamics

Shareholders will also vote on a proposed dividend of €2.25 per share, with payment scheduled for May 6. The stock closed at €54.32 on Friday, up more than 21% year-to-date and just shy of its 52-week high.

Technically, the shares are testing a stubborn resistance level around €55, an area where the stock has repeatedly reversed course in the past. The relative strength index sits at 23.6, signalling deeply oversold conditions that could lend support to any breakout attempt. The quarterly results on Thursday will provide the next catalyst, determining whether the stock can finally push through that ceiling or remains trapped in its recent range.
