Ballard Power Systems is navigating a rare moment of dissonance. The Canadian fuel cell manufacturer has strung together three consecutive quarters of positive gross margins, locked in fresh multi-year contracts with European bus operators, and seen its stock more than triple from last summer’s low. Yet the company’s annual general meeting on June 3 laid bare a deepening rift between management and a notable slice of its shareholder base — just as the departure of key board members tied to strategic partner Weichai raises questions about its Asian ambitions.

The shareholder meeting itself was ostensibly routine. All seven director candidates were re-elected, KPMG was confirmed as auditor, and the compensation plan passed. But the voting tallies told a more nuanced story. Three directors — Douglas P. Hayhurst, Hubertus M. Muehlhaeuser and James Roche — each received support between 90.45% and 91.35%, while two others, Kathy Bayless and Jacqueline Dedo, cleared 98%. The roughly 9% of votes withheld from the trio is unusually high for board-proposed slates and signals discomfort in the investor ranks. KPMG’s appointment fared even worse, with only 87.02% approval, while the compensation report secured 90.75%. Nearly one in eight shareholders effectively voted against the auditor.

That discontent coincides with a board shake-up that has already taken effect. Michael Chen and Huajie Wang, both nominees of Chinese strategic investor Weichai, resigned their seats on May 13, and independent director Janet Woodruff stepped down on June 2. Ballard has not disclosed the reasons, but the departures follow Weichai’s earlier reduction of its stake, which cost the Chinese commercial vehicle group its nomination rights. Weichai had been a long-term anchor shareholder, and its retreat now casts a shadow over future collaboration in the Asian hydrogen market — a region Ballard has long targeted.

The market’s reaction has been volatile. On the Friday after the AGM, Ballard shares fell 4.64% to €5.04, before sliding another 12% to €4.66 in the following session. The stock had hit a 52-week high of €5.62 just a day before the meeting. Even after the pullback, the shares have still more than doubled year to date — up over 100% — and have surged roughly 300% over the past twelve months from a June 2025 low of €1.21. The annualized 30-day volatility stands at 129%, underscoring the stock’s speculative nature.

Behind the price swings, the operating picture has brightened. Ballard reported first-quarter revenue of $19.4 million, a 26% year-over-year increase, while gross margin improved by 37 percentage points to 14%. The company holds $516.8 million in cash and has been winning multi-year supply deals for its FCmove-SC fuel cell engine, which is now deployed in European public bus fleets. Management, however, declined to offer specific 2026 revenue or profit targets, citing the early stage of the hydrogen mobility market.

The stock’s technical indicators suggest the recent retreat may be a consolidation after a breakneck rally. Ballard trades 47.82% above its 50-day moving average of €3.41 and 94.51% above its 200-day average of €2.59, while the relative strength index sits at 65.4 — elevated but short of overbought territory.

For investors, the next milestone is the second-quarter earnings report. The numbers will test whether Ballard can translate its operational momentum — positive margins, rising orders, and a strong cash position — into sustained financial substance, or whether the governance turbulence and the void left by Weichai will prove more than a passing distraction.
