Executive Board to Grow to Six Members

A central proposal involves expanding the company's Management Board from five to six members. This structural change hinges on the nomination of Marco Pieters to the newly created role of Chief Technology Officer (CTO). If approved, Pieters would be appointed for a four-year term, taking charge of the firm's technological direction and giving greater prominence to its research and development operations.

Alongside this addition, the company seeks to renew the mandates of two current executives to ensure leadership continuity. Chief Financial Officer Roger Dassen is nominated for another four-year term, while Chief Operations Officer Frédéric Schneider-Maunoury is proposed for a two-year extension.

Changes are also planned for ASML's Supervisory Board. Alexander Everke has informed the company that he will not stand for re-election following the spring 2026 meeting. Benjamin Loh has been nominated as his proposed successor, a move intended to bring fresh industry perspective to the board.

Current board members Terri Kelly and An Steegen are nominated for reappointment, with terms of two years and four years, respectively.
