Arafura Rare Earths has secured two critical building blocks for its Nolans project in Australia’s Northern Territory, yet the path to final investment decision still contains a funding shortfall. The company clinched a binding offtake agreement with Traxys North America for heavy rare earths, while the Australian government stepped in with A$200 million in convertible notes. But with commercial lenders typically requiring 80% of production under contract, Arafura sits at just 66% — and is now in talks with European buyers to close the gap.

The five-year Traxys deal covers an annual 500 tonnes of neodymium-praseodymium oxide (NdPr) and 7.5 tonnes of dysprosium-terbium oxide (DyTb). The heavy rare earth component is particularly strategic: DyTb makes high-performance magnets heat-resistant and is essential for electric-vehicle drivetrains, with supply currently almost entirely dependent on southern China. The contract targets the US supply chain directly, including deliveries to the US Export-Import Bank’s “Project Vault,” a buffer mechanism against critical-mineral shortages.

On the financing side, the National Reconstruction Fund Corporation has signed binding documents to provide A$200 million through unsecured convertible notes. The conversion price is set at A$0.476 per share, well above the recent trading level, though a future conversion would dilute existing shareholders. Arafura’s management sees the state backing as a potential catalyst for additional commitments from commercial banks and institutional investors. The company already has equity commitments from KfW and Export Finance Australia totalling A$230 million.

Total project financing for Nolans now stands at around A$911 million, reducing the remaining capital requirement for the development. The project is designed to mine and process rare earths on site — a rare combination in Western supply chains — with an annual output of 4,400 tonnes of NdPr oxide plus 470 tonnes of mixed middle-to-heavy rare earth oxide. Mine life is estimated at a minimum of 38 years, and the project would supply roughly 4% of global NdPr demand.

Arafura has secured binding offtake agreements for 66% of planned production capacity, helping to de-risk the project for lenders. To bridge the remaining gap to the 80% threshold, the company is negotiating with European buyers for an additional 500 tonnes of NdPr oxide.

The market environment, however, has turned less favourable. NdPr oxide prices fell 21% in April to US$99.61 per kilogram, driven by profit-taking and destocking, according to analysts. Despite the short-term weakness, medium-term expectations point to a supply deficit.

The clock is ticking towards a shareholder vote in June 2026, where the convertible-note issuance must be approved. If it passes, management expects to take the final investment decision in July 2026, triggering a 37-month construction phase. First production is targeted for the second half of 2029.
