Arafura Rare Earths has taken a major step toward de-risking its Nolans project with the signing of its first binding offtake agreement for heavy rare earths, yet the market’s muted reaction underscores the financing and geopolitical hurdles that remain. The deal with Traxys North America locks in 500 tonnes of neodymium-praseodymium oxide and 7.5 tonnes of dysprosium-terbium oxide annually for five years, with the material earmarked for US supply chains. The pricing, tied to international US dollar benchmarks, is designed to give lenders the transparency they demand. Separately, Traxys is exploring an integration with the US Export-Import Bank to backstop American industrial buyers.

Initially cheered by investors, the stock jumped 9% on the Australian Securities Exchange on 13 May to A$0.36. But the gains evaporated within days, leaving the shares down 5.6% from that peak. The sell-off was not confined to Arafura: Lynas Rare Earths shed over 10% on hopes that a Trump-Xi meeting could defuse the US-China trade war. Any détente between Washington and Beijing, analysts say, would reduce the urgency for Western nations to build independent rare earths supply chains — the very premise underpinning Arafura’s investment case.

On the financing front, the company has assembled a A$430 million funding package. The National Reconstruction Fund has committed A$200 million in convertible notes, while Export Finance Australia and Germany’s KfW are backing a A$230 million equity raising. The KfW contribution comes with a board seat and veto rights over future project milestones. Shareholders will vote on the equity component on 10 June; a rejection would collapse the entire package. All conditions must be satisfied by 1 December 2026.

Even with the offtake progress, a funding shortfall persists. The existing contracts — including those with Traxys, Hyundai, Kia and Siemens Gamesa — cover 66% of Nolans’ planned annual output of 4,440 tonnes of NdPr oxide. Lenders typically demand 80% coverage before releasing project finance, leaving a gap of roughly 1,200 tonnes per year. Management is negotiating with European buyers for about 500 tonnes of that shortfall, but the Traxys deal merely narrows the hole rather than filling it.

The timeline remains tight. Arafura aims to reach a final investment decision by the end of June, followed by 37 months of construction and first production in the second half of 2029. The neodymium-praseodymium oxide market adds another layer of uncertainty: after soaring 105% in the first quarter, prices fell 21% in April to US$99.61 per kilogram, with analysts forecasting a range of US$95 to US$115 for the current quarter. The market remains in its second consecutive year of supply deficit, but traders attribute the April drop to profit-taking and inventory destocking. Adding to the mix, China’s Ministry of Industry and Information Technology will release its semi-annual mining quota in June — a number that will directly influence the price assumptions built into Arafura’s entire revenue model.
