Ams Osram's Strategic Pivot Takes Center Stage

Ams Osram navigates a major corporate transformation with €670M in asset sales, a new €200M savings plan, and 2026 guidance amid portfolio streamlining.

While ams Osram marks the 120th anniversary of the OSRAM brand this year, the celebratory mood is tempered by a rigorous corporate transformation. The company is navigating a pivotal phase focused on portfolio streamlining, cost reduction, and balance sheet stabilization. For investors, the key question is whether strategic execution will ultimately outweigh symbolic milestones.

The share price currently stands at €9.76. This reflects a gain of 9.17% over the past 30 days, yet the stock remains down 7.92% on a 12-month view.

Financial Restructuring: Divestments and Debt Reduction

The core of the current strategy is a shift toward becoming a "Digital Photonics Powerhouse." This realignment involves significant portfolio changes. In early February, ams Osram announced the sale of its non-optical analog/mixed-signal sensor business to Infineon for €570 million in cash. This unit reportedly generated approximately €220 million in revenue and around €60 million in adjusted EBITDA in 2025.

Coupled with the previously announced divestment of its Specialty Lamps business to Ushio, total proceeds from these sales reach roughly €670 million. The company anticipates these transactions will lower its pro-forma net debt to adjusted EBITDA ratio from 3.3x to 2.5x.

Running parallel is a new transformation and savings initiative named "Simplify." The program aims to deliver an additional €200 million in recurring annual savings by 2028. This restructuring is expected to affect approximately 2,000 positions globally, with about half located in Europe.

2026: A Transitional Year with Defined Guidance

Management has framed 2026 as an operational transition year. For the first quarter, ams Osram has provided guidance for revenue between €710 million and €810 million, with an adjusted EBITDA margin of 15%, plus or minus 1.5 percentage points. For the full year, the group expects a moderate revenue decline, attributed partly to the completed divestments and a weaker U.S. dollar.

The company highlighted several headwinds impacting its adjusted EBITDA for the year. These include one-time effects related to the business sales, lingering fixed costs ("stranded costs"), higher precious metal prices, and other factors. Annual financing costs during this transitional phase are estimated at €250 million to €300 million, with a refinancing of senior notes targeted for 2027.

Showcasing Innovation at Light + Building

Against this backdrop of corporate change, ams Osram is using the Light + Building trade fair in Frankfurt (March 8-13) to showcase its technological direction. The exhibition serves as the launch platform for its anniversary year, with a focus on solutions for smart buildings, urban infrastructure, and industrial applications.

A central exhibit is an "Emergency Hub" that integrates sensors, signaling, and functional lighting. This system utilizes the EVIYOS Shape LED solution for dynamic projections in safety-critical environments.

The company is also introducing a paper-based reel for transporting LED components, designed to replace plastic versions. According to ams Osram, this innovation reduces the carbon footprint by about 80%, saves plastic, and is one-third lighter, all while maintaining comparable costs.
