Among the standard agenda items – approval of the 2025 financial statements, discharge of the management and supervisory boards, auditor selection and the say?on?pay vote – shareholders will also rule on changes to the company’s articles of association and the cancellation of a conditional capital resolution dating back to 2017.

Jefferies upgraded the stock from “Hold” to “Buy” and lifted its price target sharply from CHF 8.30 to CHF 21. The bank argues that the new partnership brings the company significantly closer to a financial breakthrough in AI photonics. UBS followed suit, setting a fair value of CHF 20.

Debt Reduction Targets in Sight
At the AGM in Premstätten, the board’s message will centre on balance sheet repair. Annual financing costs, currently running at up to €300 million, should fall to below €150 million by 2028. As of the end of March, liquidity stood at €1.317 billion against net debt of €1.071 billion.
For the current year, management has guided a free cash flow of more than €300 million, though that figure is heavily dependent on disposal proceeds. The company aims to generate positive operating cash flow from its own operations from 2027. If that milestone is reached, the years?long restructuring phase will be operationally complete, and the core Digital Photonics business – now powered by the AI optical?link deal – can take centre stage in the valuation story.
