Investors have pushed Ams Osram shares up 142% since the start of the year, betting that a painful portfolio overhaul will eventually bear fruit. The latest piece of that strategy fell into place this week with the agreed sale of the company’s CMOS image sensor business to indie Semiconductor for €40 million. Roughly €35m will come in cash, with the remainder structured as a seller loan; the transaction is expected to close within six months.

The deal is small in financial terms but strategically significant. It underscores management’s determination to shed non-core assets and redirect capital toward digital photonics — the high-growth areas of AI-driven optical interconnects and augmented-reality smart glasses. The divestiture also has a direct line into the balance sheet cleanup that has become the defining narrative for the Austrian semiconductor group.

Freshfields, the law firm advising on the sale, confirmed its role on Tuesday. Under the terms of the financing documents, around €20m of the proceeds must be used to buy back or repay outstanding bonds, given that some of the divested units hold assets previously used as collateral. That aligns with a broader plan to retire convertible bonds and senior notes, freeing up financial headroom.

The CMOS disposal is not an isolated move. Management has already offloaded the lamps business and the non-optical mixed-signal sensor division. Combined proceeds from all three sales are expected to reach nearly €700 million — a war chest that the company intends to deploy primarily for debt reduction.

Operationally, the first quarter showed the underlying challenges. Revenue slipped 3% year on year to €796 million, while adjusted EBITDA came in at €131 million, representing a 16.5% margin that landed at the top end of guidance. The bottom line still showed a net loss of €72m, highlighting that profitability remains patchy despite the margin improvement.

For the current quarter, Ams Osram has pencilled in revenue between €725m and €825m and an adjusted EBITDA margin of roughly 15%. The outlook is solid but unspectacular, leaving little room for error as the turnaround gathers pace.

Beyond the balance sheet, the company is betting on a new growth engine. It recently unveiled a prototype for high-bandwidth, energy-efficient optical data links designed for AI data centres and signed a development agreement with an industrial partner. The technology is still in its early stages, but it represents the kind of high-margin, future-facing business that management hopes will eventually drive the Photonics Story.

Ams Osram at a turning point? This analysis reveals what investors need to know now.

Jefferies remains a buyer with a price target of 21 Swiss francs — a level the stock is already breathing down the neck of. After closing at €20.50 on Wednesday and edging up to €20.60 on Thursday, the shares now sit barely 2% below that target. The rally has priced in much of the expected recovery while the restructuring itself is still a work in progress.

The next major milestone comes on June 10, when Ams Osram holds its annual general meeting. Investors will be watching for concrete progress on debt reduction and further signs that the operational base is stabilising. If the balance sheet improvement materialises as planned, the new photon-focussed strategy will gain a much firmer footing. Without visible advances in both debt and margins, the stock’s meteoric run will become increasingly hard to justify.
