Ams Osram’s annual general meeting on June 10 promises to be far more than a routine shareholder event. It arrives just days after a severe selloff that knocked the stock 17.11% lower on Friday, a rout triggered not by any company-specific news but by a sector-wide jolt from US chip heavyweight Broadcom. The Austrian sensor and photonics specialist closed at €18.65, yet the year-to-date gain still stands at roughly 119% — a reminder that high-flying shares are vulnerable when market sentiment shifts abruptly.

Broadcom’s disappointing outlook for its AI-chip business sent shockwaves through European semiconductor stocks, hitting ASML, STMicroelectronics, and Infineon alongside Ams Osram. While the Broadcom read-across is painful, it bears little direct relation to Ams Osram’s own restructuring strategy. The company is steadily pivoting toward digital photonics, building micro-emitter arrays for AI data centers and augmented-reality components. It has already secured initial orders for smart glasses and signed a development agreement with an AI-photonics partner — though meaningful commercial revenue remains ahead.

That strategic transformation will be a key topic at the Premstätten, Austria, gathering. Among the standard agenda items — approval of the 2025 annual accounts and the remuneration report — two board seats are up for re-election. The current terms of Andreas Gerstenmayer and Arunjai Mittal expire, and the supervisory board has proposed their reappointment through to the AGM covering the 2029 fiscal year. For a company in the midst of a profound overhaul, a smooth vote would signal continuity at the governance level.

Another critical milestone depends on regulators. The planned sale of Ams Osram’s non-optical sensors business to Infineon — originally expected to close in the second quarter of 2026 — is still awaiting antitrust clearance. The deal will bring in approximately €570 million, part of a broader divestiture program totaling an expected €670 million. Those proceeds are vital for the balance sheet.

The company has already taken a big step to ease its debt burden. In mid-May, it raised a €1 billion bond with a 7.25% coupon maturing in 2032, replacing $750 million in notes that carried a punishing 12.25% coupon. That refinancing should help bring annual financing costs down from as much as €300 million to below €150 million by 2028, and push the target for operational positive free cash flow into 2027.

Operationally, the first quarter of 2026 delivered €796 million in revenue and an adjusted EBITDA margin of 16.5%. Free cash flow came in positive at €37 million. For the current quarter, management projects sales between €725 million and €825 million, with margins expected to ease slightly. The full-year free cash flow target of more than €300 million hinges heavily on the completion of the remaining divestitures.

On June 10, the board will need to convince shareholders that its turnaround timeline is credible. Between the Broadcom-induced volatility, the pending Infineon deal, and the gradual ramp-up of photonics revenue, the next few months will determine whether Ams Osram can translate its strategic overhaul into hard numbers.
