The semiconductor equipment maker Aixtron has quietly removed an item from its annual general meeting agenda — not because of any controversy, but because the financing it was meant to authorize is already in the bag. The company placed €450 million in unsecured convertible bonds in April 2026, with a maturity stretching to 2031, rendering the original shareholder vote on the matter moot. The cancellation was officially recorded in Germany's Federal Gazette on April 24.

The convertible notes can be exchanged for new or existing shares, representing roughly 7.9 percent of the company's current share capital. One agenda item that remains firmly in place is the creation of a new authorized capital plan for 2026, complete with preemptive rights exclusions. The AGM itself is scheduled for May 13 at 10:00 a.m. CEST, where investors will also vote on the 2025 profit distribution and the discharge of both the management and supervisory boards.

A Quarter of Contradictions

The bond placement comes against the backdrop of first-quarter numbers that tell two very different stories. Preliminary revenue for the three months through March came in at roughly €59 million, barely half the €112.5 million recorded a year earlier. The operating result swung to a loss of €22 million, dragged down by low sales volumes and a mid-single-digit million-euro one-time charge tied to a personnel measure.

Yet the order book tells a far more optimistic tale. Incoming orders surged about 30 percent to approximately €171 million, with more than 65 percent of that total coming from the optoelectronics segment. Aixtron's G10-AsP tool, which produces light sources critical for data transmission in AI infrastructure, is seeing particularly robust demand. The company describes it as the preferred platform for the next generation of photonic components used in AI communications.

Lifting the Forecast

This order momentum has prompted management to raise its full-year guidance. Aixtron now expects 2026 revenue of around €560 million, within a range of plus or minus €30 million, alongside an EBIT margin of 17 to 20 percent. That's a significant step up from the previous outlook, though the exact prior target was not disclosed in the latest filings.

The company's cash position also improved during the quarter, rising to roughly €273 million from €224.6 million at year-end. The new convertible bond adds another layer of financial flexibility, giving Aixtron a comfortable war chest for further investment.

Market Euphoria Meets a Reality Check

Investors have largely shrugged off the first-quarter weakness. The stock has more than doubled since January, climbing over 127 percent, and recently consolidated around €43 — just shy of a multi-year high. The rally accelerated in the past month alone, with shares adding nearly 34 percent.
