Financial Performance and Market Skepticism
Commerzbank’s insistence on remaining independent is backed by recent operational strength. In 2025, the bank’s operating profit climbed 18% to reach €4.5 billion. Management indicated in February that it is on track to surpass its targets set for 2028. However, its 2026 profit forecast of €3.2 billion falls short of the €3.4 billion anticipated by market analysts.

The head of the works council, Sascha Uebel, criticized UniCredit's actions as "damaging to the business," with employee demonstrations already announced for Commerzbank’s own annual general meeting on May 20.
A Protracted Regulatory Timeline
The path to any potential merger is long and complex. Assuming UniCredit publishes its formal offer in May following approval from the German financial regulator, BaFin, a preliminary outcome is not expected before late June or July 2026. UniCredit itself anticipates that the full completion of any transaction would not occur until 2027, subject to numerous regulatory clearances.
