Capital Allocation and Market Momentum Take Center Stage

A key proposal for shareholder approval involves Nokia's capital structure. The board recommends distributing a dividend of up to €0.14 per share, flexibly paid in four installments throughout the year. Additionally, management seeks authorization to buy back up to €550 million of the company's own shares. The market has responded favorably to these plans. Nokia's share price, closing at €7.16 in the latest session, hovers just below its 52-week high. Since the start of the year, the equity has delivered a robust gain exceeding 28 percent.

This positive sentiment is partly fueled by operational tailwinds. The company is currently benefiting from robust demand for network infrastructure to support artificial intelligence. Analysts at Morgan Stanley project that Nokia's Optical and IP Networks division could see revenue growth of approximately 13 percent in 2026, surpassing the company's own guidance of 10 to 12 percent. Furthermore, the rating agency Moody's recently revised its outlook on Nokia to "positive." Despite this optimism, some market observers caution that the recent share price appreciation may have led to a potential overvaluation.

A particularly notable nomination is that of Meredith Whittaker. While she is expected to contribute substantial technological expertise, her advisory role at Nokia Bell Labs classifies her as a non-independent director. Consequently, her nomination is specifically targeted for the Technology Committee.

The coming weeks present a series of critical milestones for investors to assess Nokia's trajectory:
