Vestel Elektronik stock faces a major debt restructuring as creditors weigh two repayment paths. A November vote will decide the next step.

Vestel's debt restructuring comes into focus

  • Bondholders can preserve principal through a longer maturity or exchange into new notes.
  • Vestel is also negotiating longer maturities and a grace period with domestic banks.
  • Weak demand, export pressure and higher production costs have intensified the balance-sheet strain.

Vestel Elektronik launched a restructuring proposal for its 2029 bonds on October 20, 2026, as the Turkish electronics maker seeks to ease pressure on its balance sheet. Türkiye Today reported that holders of the 500 million US dollar notes can choose between preserving principal with a later maturity or exchanging into new bonds at a reduced principal amount.

Two paths for bondholders

Under the first option, the notes would mature on May 15, 2035, instead of May 15, 2029, while the annual coupon would fall to 4 percent. The second option would exchange the existing notes for bonds due in 2032 with a 6 percent coupon and principal equal to 55 percent of the original amount.

Bondholders are due to vote online at 10 a.m. London time on November 11. Voting instructions are due by 4 p.m. London time on November 6, according to Türkiye Today. The proposal remains subject to the required approvals, including review by Türkiye's Capital Markets Board.

Bank talks add another layer

Vestel is separately negotiating with domestic creditor banks. The company has proposed a two-year grace period for principal and interest payments and maturities extending to 2041, but the bank arrangement has not been finalized.

The restructuring comes after a sharp deterioration in operating performance. Türkiye Today reported that first-half 2026 revenue fell 47.8 percent year over year to 46.9 billion Turkish lira, while the net loss reached 10.3 billion Turkish lira. Net financial debt stood at 106.1 billion Turkish lira at the end of June, against cash holdings of 2.3 billion Turkish lira.

Business model and competition

Vestel Elektronik makes televisions, household appliances and other consumer electronics for the Turkish and international markets, with manufacturing and export operations centered in Turkey. The company also supplies products under its own brands and through licensed or original-equipment relationships. In Turkey's white-goods market, Arcelik is the larger market leader, while Vestel competes with Arcelik's Beko operations and Uzbekistan's Artel Electronics; Fitch described Arcelik's production base as stronger than Vestel's in a November 3, 2026 report carried by IntelliNews. Vestel's position is therefore more concentrated in export manufacturing and cost-sensitive consumer electronics.
