- Shiga Bank and Senshu Ikeda Holdings agreed to pursue an integration targeted for April 2028.
- The proposed structure would place Shiga Bank under Senshu Ikeda Holdings through a share swap while keeping the banks separate.
- The combined group would have consolidated assets of about 14.2 trillion yen and Shiga Bank would be delisted from the Tokyo Stock Exchange.
Shiga Bank and Senshu Ikeda Holdings announced on Thursday, October 29, a basic agreement to begin talks on integrating their operations, according to Adnkronos English. The companies are targeting April 2028 for the integration and hope to reach a definitive agreement in April 2027.
The proposed structure would make Shiga Bank a wholly owned subsidiary of Senshu Ikeda Holdings through a share swap. The two banks would continue operating separately, and large-scale branch consolidation is not planned for now. Shiga Bank would be delisted from the Tokyo Stock Exchange if the plan is completed.
Scale drives the strategic case
Combined consolidated assets stood at about 14.2 trillion yen at the end of March, positioning the proposed group as the largest regional banking group in Kansai by assets. The companies said the integration is intended to broaden their customer bases and strengthen competitiveness as Japanese banks compete for deposits and loans.
Shiga Bank stock traded at 2,483.50 yen on the Tokyo Stock Exchange at 3:30 p.m. JST on Friday, October 30. The proposed transaction remains subject to further negotiations, due diligence and the conclusion of a definitive agreement, leaving the exchange ratio and other final terms to be settled later.
Regional lender with a Kansai focus
Shiga Bank is headquartered in Otsu, Shiga Prefecture, and provides regional banking services centered on Shiga and Kyoto, according to the Shiga Bank investor relations page. Its closest named regional peers in the proposed group are Senshu Ikeda Bank, focused on Osaka, and Kyoto Financial Group, a major Kyoto-based regional banking group. Shiga Bank is more concentrated geographically than the combined platform now under discussion, while the integration would extend the group across Shiga, Kyoto, Osaka and Hyogo.
