- The proposed restructuring would transfer operating assets to a new entity before the subsidiary is sold.
- Completion depends on regulatory approvals and an extraordinary general meeting.
- PetroReconcavo reported strong first-half operating figures, including 24.2 Kboed of average production.
PetroReconcavo's board has approved a restructuring proposal for its subsidiary SPE Tiêta Ltda., including a planned sale of the subsidiary to KEO Capital AB. The information was reported on October 21, 2026, by El Fondo after the company reviewed the proposal on October 20.
Planned transfer of operating assets
The plan calls for a partial spin-off of SPE Tiêta. Exploration and production assets would be transferred to a newly created entity known as NewCo, including concession contracts for the Tiê and Tartaruga fields and exploration blocks REC-T-155, REC-T-129 and REC-T-142.
The transferred package would also include related rights, contracts, permits, licenses, working capital and employees. PetroReconcavo would then absorb NewCo, while the remaining SPE Tiêta entity would be sold to KEO Capital AB, formerly known as Maha Capital AB, for BRL 2.6 million.
Approvals remain outstanding
The transaction is not yet complete. The proposed concessionaire change requires authorization from Brazil's National Agency of Petroleum, Natural Gas and Biofuels under ANP Resolution 785/2019. The company also expects to convene an extraordinary general meeting after the required corporate steps and regulatory clearances have been addressed.
For investors, the proposal points to a possible simplification of the corporate structure and lower general and administrative complexity. The near-term investment case still depends on execution, regulatory approval and the eventual terms of the reorganization rather than on the announcement alone.
