The bank had agreed on September 18, 2026 to acquire more than 55.00 percent of the voting rights in Dezelna banka Slovenije, or DBS, according to NLB Group. The transaction gives the Slovenian banking group a concrete expansion project while regulatory approvals remain the next milestone.
DBS adds a domestic banking platform
The agreement combines two share purchases: 25.66 percent from Skupina PRVA and an additional 29.38 percent from KD Group. Together, the contracts cover more than 55.00 percent of DBS voting rights, and completion is expected in the second half of 2027 after regulatory approvals, the September 18 announcement said.
DBS operates 65 branches and held EUR 1.6 billion in total assets at year-end 2025, equal to a 2.80 percent Slovenian market share. Its customer base centers on retail banking, small and medium-sized businesses, and the agri-food sector, giving NLB a stated route into rural areas where its own physical presence is limited, according to FT.com.
Profit growth supports the strategy
NLB Group reported EUR 133.10 million net profit in the second quarter of 2026, while core revenues increased 6.00 percent year over year and loan volume in the home region grew 12.00 percent year over year, according to the NLB Group investor update. Those figures provide the operating backdrop for an acquisition whose strategic value depends on integrating DBS while preserving its branch network.
The market context is also measurable. NLB shares on the Ljubljana Stock Exchange closed at EUR 228.00 on October 7, 2026, while the 52-week range stood at EUR 174.00 to EUR 235.00. The Lang & Schwarz indication is EUR 7.50 below that 52-week high, a 3.19 percent gap calculated against the high.
