- The proposed transaction would place LabelVie and Retail Holding under one listed corporate structure.
- Existing LabelVie investors would receive shares in Retail Holding if the merger is approved and completed.
- The transaction remains subject to shareholder approval at the extraordinary meeting in Skhirat.
LabelVie shareholders are being asked to approve a merger with Retail Holding that would end the Moroccan retailer's existence as a separate listed company. The proposal, reported by 7News Morocco on October 21, 2026, is scheduled for a shareholder vote on November 20, 2026.
Shareholders face structural change
The extraordinary general meeting is scheduled for 10:00 at LabelVie's administrative headquarters in Skhirat. If approved, the merger would bring both groups' activities under Retail Holding, which would be listed on the Casablanca Stock Exchange.
Retail Holding would take over LabelVie's assets and liabilities. According to the report, the net value of the transferred business is estimated at 12.46 billion dirhams, based on assets of 24.19 billion dirhams and liabilities of 11.73 billion dirhams.
Exchange terms define investor outcome
Under the proposed terms, LabelVie shareholders would receive eight Retail Holding shares for every 11 LabelVie shares held. The resulting Retail Holding shares would be the securities admitted to trading once the transaction is completed; the plan does not provide for a separate offering to new investors.
The restructuring would also introduce double voting rights for qualifying registered shares held for at least two years. Former LabelVie shareholders would need to retain their shares for two years after the merger before becoming eligible for those additional voting rights.
Approval remains the next milestone
The merger would take effect when Retail Holding shares begin trading, subject to approval of the agreement and its financial terms. LabelVie shares would be removed from the Casablanca Stock Exchange under the transaction prospectus, making the shareholder vote the key near-term milestone rather than a completed change in ownership.
