ISA's extraordinary shareholders' meeting approved two statutory amendments and elected a new board of directors on October 28, according to ISA. The resolutions were proposed by majority shareholder Ecopetrol.
Governance rules change
The first amendment concerns the formation of board slates. ISA said the rules will seek to retain at least three current directors, while preserving the shareholders' ability to elect a different composition or renew the board fully.
The second amendment changes the process for selecting and appointing ISA's president. The board will lead the planning and management of the search, with possible support from its organizational talent committee or an external executive-search firm. The existing requirements for suitability, knowledge, experience and leadership remain in place.
Board elected through 2028
The meeting elected nine directors for the remaining 2026-2028 term. ISA said the board has a majority of independent members and reflects a balance of gender, generations, backgrounds, expertise and experience.
