- Ingenia's board said AVID's revised proposal offers an equal or superior outcome to securityholders.
- Warburg Pincus must submit any further proposal under the existing process deed.
- Ingenia's 2026 annual general meeting is scheduled for November 18 in Sydney.
Ingenia Communities said on Wednesday, November 4, that its board had rejected an amended takeover proposal from Warburg Pincus after concluding that it was not, and could not reasonably become, superior to AVID Property Group's proposal. The company said the decision keeps Warburg Pincus' due diligence access terminated.
According to the Ingenia Communities announcement, AVID's revised non-binding indicative proposal offers 5.45 Australian dollars in cash per stapled security and would not be reduced by a permitted distribution of up to 0.05 Australian dollars for the half year ending December 31, 2026. Warburg Pincus' latest proposal was described as having the same price and distribution terms.
Warburg seeks another route
Warburg Pincus' amended proposal sought changes to the process deed that would allow a competing bidder to retain due diligence access for four days after submitting a matching proposal. It was conditional on immediately restoring Warburg's access, giving AVID a matching-right notice and, subject to that right, replacing the AVID process deed by November 6.
Ingenia said those conditions did not activate the fiduciary exception allowing renewed access to Warburg Pincus. The board will consider any further proposals under the existing AVID process deed, leaving securityholders with a contest between competing non-binding proposals rather than a completed transaction.
