- The transaction leaves ownership unchanged and does not issue new shares.
Hankuk Carbon completed its merger with wholly owned subsidiary Korean Aviation Technology KAT on Monday, November 2, according to TipRanks. The small-scale transaction was completed at a 1:0 ratio without consideration.
A consolidation without new shares
No new shares were issued, leaving Hankuk Carbon's ownership structure unchanged. The company remained the surviving parent and retained full ownership of KAT after the merger.
A total of 1,232 shareholders, representing 0.61 percent of issued shares, submitted opposition notices without appraisal rights. No creditors objected, no merger-related litigation was reported, and the transaction required neither debt repayment nor substantial security.
Limited capital structure impact
