- F&F is assessing whether to exercise its pre-emptive right to acquire TaylorMade.
- The review follows a potential sale by Centroid Investment to a US-led consortium.
- A decision could come in the second half of November after the review and an additional assessment period.
F&F has started detailed due diligence for a potential takeover of golf brand TaylorMade, according to eDaily. The review began on October 28 and concerns whether F&F will exercise a pre-emptive right secured when it invested in a fund involved in TaylorMade's 2021 acquisition.
Decision Follows Review Process
TaylorMade's largest shareholder, Centroid Investment, is pursuing a sale and is reported to be preparing a share purchase agreement with a US-based Entrada consortium. Market estimates cited by eDaily put the potential transaction at 2.85 billion US dollars, or about 3.8 trillion Korean won.
Under the existing arrangement, F&F may acquire TaylorMade on the same terms as a third-party buyer. The company is expected to complete two weeks of detailed due diligence, followed by another two weeks to consider whether to exercise the right. A final decision could therefore come in the second half of November.
F&F told eDaily that it is reviewing the option and will make a careful decision after considering the due diligence findings and what best serves the company.
Fashion Portfolio Provides Base
F&F is a Korean fashion company that develops premium brands and seeks to create fashion culture, according to its corporate website. Its current review of TaylorMade would broaden the group’s exposure toward global golf apparel and equipment. The company has not committed to the acquisition, leaving the transaction's financial impact dependent on the outcome of the review.
