- The CSSF approved Electrica's base prospectus for the planned note programme.
- The first issuance has not yet been scheduled and remains subject to market conditions and a further board resolution.
- The company says the notes may be listed in Luxembourg and potentially on the Bucharest Stock Exchange.
Electrica announced on 29 October 2026 that Luxembourg's Commission de Surveillance du Secteur Financier, or CSSF, had approved the base prospectus for a EUR 1 billion Euro Medium Term Note programme. The announcement was carried by Reuters via TradingView and reproduced the company's regulatory disclosure.
Programme approved, issuance pending
The programme was established on 29 October after earlier resolutions by Electrica's extraordinary general meeting and board. It allows the company to issue notes up to an aggregate principal amount outstanding of EUR 1 billion, although the announcement does not represent a completed bond issue.
Electrica said its board had decided on 28 October that the timing of the first issuance would be determined later. Any transaction would depend on market conditions and require a further board resolution approving the final terms. The notes may have a minimum denomination of EUR 100,000 or its equivalent in another currency.
Potential listing and investor context
Applications have been made for notes issued under the programme to be listed on the official list of the Luxembourg Stock Exchange and admitted to trading on its regulated market. Electrica said that admission to trading on the regulated market of the Bucharest Stock Exchange may also be sought once notes are issued.
The company currently has a BBB- long-term issuer default rating with a stable outlook and a BBB- senior unsecured rating from Fitch Ratings Ireland. Individual notes may be rated or unrated, and any rating would be set out in the relevant final terms rather than assumed from the company's existing ratings.
For investors, the announcement establishes a potential financing channel but leaves the size, pricing and timing of the first transaction open. It therefore provides a framework for future capital-market activity, not a completed refinancing or an immediate change to Electrica's operating results.
