CJ Corp is back in focus after its cinema subsidiary CJ CGV moved toward a 120 billion won private convertible-bond issue. MoneyToday reported on Monday, November 2, 2026, that the offering could come as early as December and would target institutional investors.
The planned securities would have a five-year maturity, with a coupon and yield to maturity of 0 percent, according to the term sheet cited by MoneyToday. Investors would receive put rights every three months from the second year, while conversion into shares would be available from the first year until one month before maturity.
The structure would not include a conversion-price reset if CJ CGV shares decline. That leaves investors dependent on potential share-price gains for returns beyond repayment of principal. Shinhan Investment, Korea Investment & Securities, Hanyang Securities and NH Investment & Securities are participating as underwriters or lead managers, although the lead manager has not been finalized.
Holding company support remains central
CJ Corp held a 50.90 percent stake in CJ CGV at the end of June last year, according to the report. The holding company also signed a funding replenishment agreement that helped CJ CGV complete two capital-securities offerings totaling 600 billion won on April 30 and May 28.
The fundraising plan follows a sharper improvement in operating performance. CJ CGV's domestic audience reached 57.05 million in the first half, up 34.2 percent from a year earlier. Consolidated operating profit rose 310 percent to 20.2 billion won, while EBITDA increased 21.8 percent to 178.8 billion won, MoneyToday reported.
The company has reduced its cinema network by 20 locations over the past year and a half to 176 as of the end of June. The securities industry expects CJ CGV to report a profit for the third quarter, adding an operating milestone to the financing story.
Expansion through group affiliates
CJ 4DPLEX, which develops specialized screens and exclusive content, received approval in August for a 220 billion won investment in redeemable convertible preferred shares. CJ Olive Network, which provides systems and external IT services, became a wholly owned CJ CGV subsidiary in 2024 after CJ Corp contributed capital in kind valued at 444.4 billion won.
MoneyToday noted that the planned bond issue will test institutional demand for CJ CGV's recovery and the wider support of its parent group. The terms offer repayment protection through the put option but provide no coupon income, making the conversion opportunity the central potential source of investor returns.
