Artemis Gold agreed to acquire Vista Gold in a USD 427 million all-share transaction announced on September 21, 2026, creating a new growth route for Artemis Gold stock. FT.com reported that the agreement adds Vista's Mt Todd gold project in Australia's Northern Territory to Artemis Gold's portfolio.

What the deal means

The arrangement gives Vista shareholders 0.0966 Artemis Gold common shares for each Vista share. Existing Artemis Gold shareholders are expected to own 95.00 percent of the combined company, while Vista holders are expected to receive 5.00 percent after completion.

Mt Todd brings 9.10 million ounces of measured and indicated mineral resources and 1.40 million ounces of inferred resources. The project also has approvals for a 50,000-tonne-per-day processing facility, giving Artemis Gold a large development asset alongside its Blackwater mine.

Growth comes after Blackwater

The company said Blackwater Phase 1A and EP2 remain the priority, with EP2 completion expected by mid-2028. Investing.com reported that Mt Todd construction is expected to advance after EP2 and that the combined assets offer a path toward more than one million ounces of annual gold production.

The transaction uses shares rather than cash and adds no new debt. That structure protects Artemis Gold's existing balance sheet, but completion still depends on a 66.67 percent Vista shareholder vote, court approval and regulatory clearances. The agreement also includes a USD 18.00 million termination fee payable by Vista under certain conditions, according to FT.com.

Prior close and next milestones

Artemis Gold's prior close at Lang & Schwarz was EUR 24.50 on October 5, 2026. The Vista shareholder meeting is expected in December 2026, with transaction completion targeted for January 2027 if the required approvals arrive.
