United Internet plans to participate in a capital increase at 1&1 that would raise its stake in the telecommunications company to approximately 89.32 percent. The company disclosed the plan on October 5, 2026, in an EQS Newswire release.
Contribution in kind
The Management Board and Supervisory Board of United Internet AG resolved to participate in 1&1 AG's capital increase. United Internet will contribute a loan receivable of EUR 850,237,942.45 from 1&1 Versatel GmbH and, in return, receive 35,352,929 new 1&1 shares at a calculated issue price of EUR 24.05 per share, according to the issuer-authored announcement.
Expected ownership increase
On completion of the capital increase, United Internet's holding in 1&1 is expected to rise from approximately 87.19 percent to approximately 89.32 percent. The contribution would not result in additional cash outflow for United Internet, while the company said the transaction would strengthen 1&1's capital structure and financial flexibility, the EQS Newswire release said.
