GDT acquisition and trading update
In a September 17, 2026 announcement distributed through RNS, Softcat said it had agreed to acquire GDT Topco, a US-based multi-vendor IT solutions provider, for an enterprise value of $1.05 billion. The transaction is expected to close by the end of the first quarter of calendar 2027, subject to customary regulatory approvals. Softcat said it expects the deal to provide high-single-digit to low-double-digit underlying EPS accretion in the first full fiscal year.
The same announcement said Softcat expected high-teens growth in FY2026 underlying operating profit, compared with its previous mid-teens expectation. FY2026 cash conversion was expected toward the top of the previously guided 85 percent to 95 percent range. Softcat said its FY2026 preliminary results were scheduled for October 14, 2026. The company separately described GDT as a Dallas-headquartered technology solutions provider that would expand Softcat's presence in North America and India, with capabilities including networking, cybersecurity and data center solutions, in a company announcement.
