Qorvo’s combination with Skyworks was completed on October 5, 2026, according to a GlobeNewswire release issued by Skyworks Solutions. The combined company will operate as Skyworks and trade under the SWKS ticker on Nasdaq.

Merger consideration for Qorvo holders

Under the merger agreement, each Qorvo shareholder is entitled to receive $32.50 in cash and 0.960 of a Skyworks common share for each Qorvo share held, the company said in the release. Legacy Qorvo shareholders are expected to own approximately 37% of the combined company on a fully diluted basis, while legacy Skyworks shareholders are expected to own approximately 63%.

The transaction is expected to generate annualized cost synergies of $500 million or more within 24 to 36 months after closing, when the companies are fully integrated. Skyworks also said the transaction is expected to be immediately accretive to non-GAAP earnings per share.

Nasdaq listing action

In connection with the merger, Qorvo asked Nasdaq to halt trading in its common stock before the market opened on October 5 and requested that Nasdaq file a Form 25 to remove the shares from listing and terminate their Section 12(b) registration, according to a report identifying the original SEC filing. Qorvo also intends to file a Form 15 to suspend its reporting obligations.
