DOJ review adds a regulatory step
In a Form 8-K filed with the SEC on September 9, 2026, Fox Corporation said that Fox and Roku each received a request for additional information and documents from the U.S. Department of Justice on September 8 in connection with the planned mergers.
The filing said the Second Request extends the waiting period under the Hart-Scott-Rodino Act until 30 days after both companies have substantially complied, unless the period is terminated earlier or the companies agree to extend it. Fox said the companies would continue to cooperate with the DOJ.
Transaction remains pending
Fox said it expects the mergers to be completed in the first half of calendar year 2027, subject to the HSR waiting period and other customary closing conditions, including approvals by Fox and Roku stockholders. The transaction uses a two-step structure under which Roku would become a wholly owned subsidiary of Fox.
The same SEC filing said the registration statement was declared effective on September 1, 2026, and that Fox and Roku filed and began mailing the definitive joint proxy statement and prospectus to stockholders around that date.
