Ownership restructuring proposed

In an announcement dated September 1, dormakaba said it would ask shareholders at the October 20, 2026, annual general meeting to approve steps to simplify the group’s ownership structure. Under the proposal, dormakaba Holding AG would purchase the Mankel family’s 47.5 percent interest in the operating business for CHF 2.13 billion through a contribution in kind. The family would receive 36,161,560 newly issued shares and a cash component of CHF 29.9 million. Completion is expected on or around January 7, 2027, subject to shareholder, regulatory and other customary approvals, according to the company’s announcement.

Alliants acquisition agreed

Separately, dormakaba announced on September 15 that it had signed a binding agreement to acquire Alliants Limited, a United Kingdom-based guest experience technology company serving the hospitality sector. Alliants provides software and managed services including concierge functions, contactless check-in, mobile keys, payments and messaging. The parties did not disclose financial terms, and completion is expected after regulatory approval within 2026, the company said in its release.
