In a September 17 release, Business Wire reported that Apple Merger Sub, a wholly owned subsidiary of Copart, had commenced a tender offer for all outstanding shares of ACV Auctions at USD 10.50 per share in cash. The offer and withdrawal rights are scheduled to expire at one minute after 11:59 p.m. Eastern Time on September 30, 2026, unless extended or terminated earlier.
Copart said the offer is subject to conditions including a minimum tender of more than 50 percent of ACV’s outstanding shares and the expiration or termination of the Hart-Scott-Rodino waiting period. In its September 10 announcement, Business Wire said the agreement implied an equity value of approximately USD 1.90 billion and was expected to close by calendar year-end 2026.
