Berlin seeks commitments as takeover advances
Berlin expects UniCredit to make clear commitments on jobs and Germany as a business location as the Italian lender moves closer to taking control of Commerzbank, Reuters reported on September 29.
According to the report, UniCredit has secured nearly half of Commerzbank’s share capital. The German government owns 13.3 percent of Commerzbank and is seeking to protect the bank’s role as a financier of small and medium-sized businesses. Berlin also wants Commerzbank to remain listed, keep its headquarters in Frankfurt and continue financing German mid-sized companies.
UniCredit documents takeover offer
In a September 10 release, UniCredit said its board had approved a capital increase reserved for its voluntary public takeover offer for Commerzbank shares not directly held by UniCredit. The release said the capital increase would be executed on the payment date of the offer consideration, subject to the offer conditions being fulfilled or waived.
Reuters reported that the remaining issues include supervisory clearance and discussions over Commerzbank’s future governance. A UniCredit spokesperson said the company welcomed dialogue with the German government but would not comment publicly on details while discussions remained ongoing.
