Nexa transaction remains subject to approvals

Separately, Boliden agreed on August 27, 2026, to acquire Votorantim’s controlling stake in Nexa Resources through a share-for-share exchange, according to an issuer-authored Nexa release distributed by Newsfile. Under the agreement, Votorantim would receive 0.250 newly issued Boliden shares for each Nexa share transferred.

Upon completion, Boliden is expected to hold 64.68 percent of Nexa’s shares and voting rights, while Votorantim is expected to hold approximately 7.00 percent of Boliden’s shares and voting rights, the release said. Completion is expected during the first quarter of 2027 and remains subject to conditions including Boliden shareholder approval, Nexa shareholder approval for a new board, and regulatory approvals.

Following completion, Boliden has agreed to commence a voluntary cash tender offer for Nexa shares held by minority shareholders. The company also plans mandatory tender offers for remaining shares of certain Nexa subsidiaries listed in Peru, as required under local regulations, according to the transaction announcement.
