Analog Devices agrees to acquire Alif Semiconductor

In a September 9 press release, Analog Devices said it had entered into a definitive agreement to acquire Alif Semiconductor in an all-cash transaction. The upfront consideration is USD 1.35 billion, and Analog Devices may pay up to USD 200 million in additional contingent consideration.

The company said the transaction had been approved by both boards and is expected to close before the end of calendar year 2026, subject to customary closing conditions and the expiration of the applicable U.S. antitrust waiting period. Analog Devices said the deal would combine its sensing, signal-processing, power, connectivity and software capabilities with Alif’s AI-native microcontrollers and fusion processors.
