Zurich completed its GBP 8.1 billion acquisition of Beazley on October 1, 2026, and Beazley stock was delisted from the London Stock Exchange the following day. Insurance Journal reported that shareholders will receive 1,310 pence per share, with payment expected on October 15, 2026.
Takeover changes Beazley's ownership
The transaction became effective after the court-approved scheme was completed, ending Beazley's status as an independent listed insurer. The London-based specialty insurance group now sits inside Zurich's global specialty operation, giving Zurich access to Beazley's Lloyd's platform and its specialist underwriting businesses.
Zurich Insurance said on October 2, 2026, that the combined business is expected to generate incremental annual revenue of more than USD 1.0 billion by 2029, alongside at least USD 150.0 million in annual cost savings.
Leadership and earnings move apart
Kristof Terryn was appointed CEO of Beazley and Zurich Global Specialty, subject to regulatory approval, while Adrian Cox is leaving Beazley. The management change gives the acquisition a clear operating structure as Zurich integrates the specialty insurer.
Beazley's latest reported figures show why the integration matters financially. In the first half of 2026, pretax profit fell 53 percent to USD 237.7 million, while the undiscounted combined ratio worsened to 93.3 percent from 84.9 percent, according to Lightyear.
Beazley enters a private-company phase
The shareholder payout fixes the transaction value at 1,310 pence per share, while the operating plan places the emphasis on revenue synergies, cost savings and capital efficiency. Zurich also said the integration could produce at least USD 1.0 billion of one-off capital extraction within the first two years, a figure that frames the financial ambition of the new structure.
Beazley was listed on the LSE under ticker BEZ.L before the takeover, with its specialty insurance business spanning cyber, marine, property, reinsurance and other specialist risks. The acquisition therefore changes both the ownership model and the way the company will be assessed by public-market investors.
