Valero Energy announced on Friday, October 30, that its subsidiary Valero Refining-Texas had agreed to acquire all outstanding equity interests in LYB Houston Hub Holdings from a LyondellBasell subsidiary. The purchase price is USD 320.5 million, subject to closing adjustments, according to Valero Energy.

The acquired site covers roughly 700 acres next to Valero's Houston refinery on the Houston Ship Channel. Valero expects to restart 165,000 barrels per day of light sweet crude processing capacity by year-end 2027. The company also sees an opportunity to add high-complexity heavy sour crude processing later. Closing is expected by the end of 2026, subject to customary conditions including antitrust review.

Refining drives third-quarter rebound

Valero reported third-quarter net income attributable to stockholders of USD 6.8 billion on October 22, up from USD 1.1 billion a year earlier. Adjusted earnings were USD 23.90 per share, compared with USD 3.66 in the prior-year quarter, while revenue rose to USD 46.10 billion from USD 32.17 billion, according to the company's third-quarter release.

Refining supplied the main earnings contribution as operating income reached USD 8.78 billion, compared with USD 1.61 billion a year earlier. Renewable diesel returned to profit with USD 353 million of operating income, while ethanol operating income increased to USD 272 million. The results show the company's strong sensitivity to refining margins and throughput conditions.

Capital returns remain in focus

On October 27, the board declared a regular quarterly dividend of USD 1.20 per share, payable on December 21 to shareholders of record on November 24. The distribution was announced in a company release. The acquisition adds a growth investment to the capital-allocation picture, while the earnings rebound provides financial support for shareholder distributions.
