- Union Pacific appealed an order requiring public release of a speech by CEO Jim Vena.
- Canadian Pacific Kansas City argues that the appeal is late and could delay the merger review before the November 18 comment deadline.
- Union Pacific says the recording should remain confidential to prevent use outside the regulatory proceeding.
Union Pacific has appealed an administrative law judge's decision requiring public release of a video featuring CEO Jim Vena, adding a new procedural dispute to the proposed Norfolk Southern acquisition. Trains.com reported the appeal and Union Pacific's request for a temporary stay.
The recording covers a March speech at the Southwest Association of Rail Shippers in Houston. Merger opponents and U.S. Senator Tammy Baldwin have cited remarks from the event as evidence that shippers could face higher rates if they did not support the transaction. Union Pacific has denied threatening anyone.
Appeal challenges release order
Union Pacific argues that making the video public could cause irreparable harm because parties outside the proceeding could edit, distribute or use the material for purposes unrelated to the regulatory review. The railroad says the confidential version is already available to parties in the case and can be used in their filings.
The company has offered an alternative if the Surface Transportation Board decides that publication is required: Union Pacific would post the material on its own website. Its main request, however, is to keep the recording under the restrictions of confidential discovery.
Deadline raises pressure
Canadian Pacific Kansas City has asked the board to order immediate compliance. CPKC argues that Union Pacific missed the deadline to appeal the administrative law judge's October 23 decision, while Union Pacific says its filing was timely under a seven-day period in the board's rules.
CPKC also claims that the appeal could run down the clock before November 18, when shippers and other participants are due to submit comments on the merger. CPKC said it would respond to Union Pacific's appeal and stay request on November 4.

The regulatory dispute keeps the merger process central to the investment case. The Trains.com report says the board must weigh Union Pacific's confidentiality arguments against demands for public access to the speech.
