Santam stock gets ZAR 505.00 buyout offer from Sanlam

Sanlam offers ZAR 505.00 per share
According to NSX on October 5, 2026, Sanlam agreed to acquire the eligible ordinary shares through a scheme of arrangement for ZAR 505.00 per share. The consideration represents a 26.6 percent premium to Santam's closing price on October 2, 2026, and the proposal would make Santam a wholly owned Sanlam subsidiary.
Business Insider Africa reported on October 5, 2026 that Sanlam held an effective 62.7 percent stake excluding treasury shares. The remaining minority interest is therefore the central subject of the proposed transaction.
Delisting depends on approvals
The scheme remains subject to shareholder and regulatory conditions, including approvals involving the Prudential Authority, the Takeover Regulation Panel, the Financial Surveillance Department and the JSE. The NSX announcement sets March 31, 2027 as the longstop date, subject to the transaction conditions and any permitted extension.
If implemented, Santam would be automatically delisted from the JSE main board, while applications would also be made to end its NSX and A2X listings. EWN reported that Santam's independent board unanimously backed the proposal and plans to recommend it to shareholders.
Half-year profit supports the valuation
Santam's investor-relations page identifies the latest report as the interim results for the six months ended June 30, 2026. The company reported conventional gross written premium growth of 10 percent, while Santam described the first-half performance as supported by disciplined underwriting and expense management.
The transaction announcement adds that Santam's net assets stood at ZAR 15.896 billion and profit attributable to those net assets reached ZAR 2.192 billion for the six months ended June 30, 2026. Those figures give the proposed cash consideration a concrete financial backdrop as shareholders weigh an immediate exit against continued ownership through Sanlam.
Santam stock stays near its yearly high
Santam was trading 1.17 percent below its 52-week high of ZAc 49,007 on October 6, 2026, while its 52-week low stood at ZAc 36,011. Volume was 105,772 shares at the quoted time, placing the stock close to the top of its current annual range.
