- Sales increased year over year and exceeded QIAGEN's outlook for the quarter.
- Adjusted profitability improved, while reported diluted earnings per share declined.
- QIAGEN suspended its 2026 outlook while the proposed EQT transaction remains pending.
QIAGEN reported stronger third-quarter sales and adjusted earnings on Wednesday, November 4, while the pending EQT transaction led the company to suspend its full-year outlook. The company said in its November 4 press release that third-quarter net sales rose 3 percent year over year to USD 548 million, matching the preliminary figures.
Sales also increased 3 percent at constant exchange rates, above the company's outlook for growth of about 1 to 2 percent at constant exchange rates. Consumables and related revenues rose 3 percent at constant exchange rates and represented 91 percent of total sales. Instrument sales increased 1 percent at constant exchange rates.
Margins Improve Despite Deal Uncertainty
Operating income rose to USD 132 million from USD 129 million in the prior-year quarter. Adjusted operating income increased 6 percent to USD 167 million, lifting the adjusted operating margin to 30.4 percent from 29.6 percent. QIAGEN attributed the improvement to sales growth, a larger contribution from higher-margin consumables and efficiency gains, while continuing to invest in Parse Biosciences after its late-2025 acquisition.
Reported diluted earnings per share fell to USD 0.51 from USD 0.60. Adjusted diluted earnings per share, however, rose to USD 0.65 from USD 0.61. The adjusted result at constant exchange rates was also USD 0.65, above the company's outlook for at least USD 0.62 at constant exchange rates.
Sales from QIAGEN's growth pillars increased 7 percent at constant exchange rates to USD 415 million, partly offsetting a 7 percent decline in the rest of the portfolio. The mix continues to matter for investors because consumables provide recurring demand and carry higher margins than some instrument sales.
EQT Offer Remains The Key Catalyst
QIAGEN said it will not provide financial guidance while the proposed transaction with EQT Private Equity is pending. The tender offer has not yet commenced, and the company expects the transaction to remain subject to the required regulatory steps. That leaves the cash offer as the main near-term reference point for shareholders while the operating business continues to report quarterly results.
At 11:37 CET on Thursday, November 5, QIAGEN stock traded at EUR 45.26 on Lang & Schwarz. Investors can follow the real-time quote of Qiagen stock. The quote is below the proposed EUR 46.50 cash consideration, although the spread also reflects transaction timing and completion risks.
