- EQT agreed to pay EUR 46.50 in cash for each QIAGEN share.
- QIAGEN suspended its full-year 2026 outlook while the transaction is pending.
- Closing is expected in mid-2027, subject to regulatory and shareholder conditions.
QIAGEN and EQT Private Equity agreed on October 21, 2026, to a recommended voluntary cash takeover offer for all QIAGEN shares. Crown NL Bidco B.V., controlled by EQT XI, intends to pay EUR 46.50 per share. The terms and the preliminary third-quarter figures were published in a QIAGEN announcement carried by the Financial Times.
Qiagen stock traded at EUR 45.08 on Lang & Schwarz at 11:09 CET on Friday, October 30, 2026, 0.07 percent above the Xetra close of Thursday, October 29. The offer price therefore remains above the current market quotation, although the spread does not determine whether the transaction will close.
Offer Still Awaits Clearance
The planned transaction values QIAGEN at approximately EUR 10.8 billion in enterprise value, including approximately USD 1.1 billion of net debt. The offer represents a 40.3 percent premium to the unaffected share price on July 8, 2026, and a 46.9 percent premium to the three-month Xetra volume-weighted average price of EUR 31.66 through that date.
QIAGEN's management board and supervisory board unanimously approved the business combination agreement and agreed to recommend that shareholders tender their shares. The formal recommendation is to follow the publication of the offer document after clearance by Germany's Federal Financial Supervisory Authority and the filing of the relevant United States tender-offer materials.
The offer requires acceptance by at least 50 percent of QIAGEN's outstanding share capital plus one share. It also depends on shareholder resolutions at an extraordinary general meeting, a later implementation decision by the QIAGEN boards, and merger-control and foreign-investment clearances. The tender offer has not yet commenced, and completion is currently expected in mid-2027.
Results Outlook Put On Hold
Alongside the transaction announcement, QIAGEN reported preliminary third-quarter 2026 net sales of USD 548 million at both reported and constant exchange rates. Adjusted diluted earnings per share came to USD 0.65 on both measures. The company suspended its full-year 2026 outlook while the proposed transaction remains pending.
QIAGEN said it would continue under its existing name and brand if the transaction proceeds. EQT has committed to supporting the company's long-term development, including its business, key brands, operating footprint, research and development activities, and employee arrangements. For shareholders, the agreed cash price provides a reference point, but the final outcome remains dependent on the offer conditions and regulatory process.
