- Prosus continued its open-ended repurchase programme across Prosus and Naspers shares.
- Holders of Prosus N shares can choose a dividend instead of the default capital repayment.
- The distribution timetable separates trading and ex-dividend dates on Euronext Amsterdam and the JSE.
Prosus stock traded at 38.47 euros on Lang & Schwarz at 12:00 CET on Thursday, November 5, 2026, 3.97 percent above the Xetra close of Wednesday, November 4. The move came as investors continued to assess the technology investment group's capital-return programme and its approaching shareholder-distribution dates.
In a regulatory announcement published by Prosus on Tuesday, November 3, the company said it had repurchased 2,364,509 Prosus shares between October 26 and October 30. The average purchase price was 34.2247 euros per share, taking the total consideration to 80,924,618.77 euros.
Repurchases remain a capital-return tool
The purchases form part of the open-ended programme announced in June 2022 for Prosus N shares and Naspers N shares held by the groups' free-float shareholders. The latest disclosure covers only the Prosus shares bought during the stated week; it does not set a closing date for the programme or introduce a new target.
For investors, the buyback reduces the number of Prosus shares in circulation when the repurchased stock is cancelled or otherwise dealt with under the programme. That can support per-share metrics over time, although the effect depends on the pace of future purchases, the price paid and the performance of the underlying portfolio. The announcement itself did not provide new earnings guidance or a fresh valuation target.
The company is also implementing a shareholder distribution for the year ended March 31, 2026. As set out in its distribution announcement dated October 29, ordinary N shareholders are entitled to a gross payment of 0.28 euros per share, with a capital repayment as the default form.
Eligible N shareholders can elect to receive a dividend instead. Prosus said that the election excludes the alternative form, while dividend payments may be subject to Dutch withholding tax depending on the shareholder's circumstances. The company has also published separate treatment for shares held through the South African register.
Exchange dates shape the timetable
The calendar differs between Johannesburg and Euronext Amsterdam. November 5 is the last JSE trading day for N shareholders seeking to appear in the register for the distribution, while November 6 is the final Euronext Amsterdam trading day for that purpose. The Euronext Amsterdam ex-dividend and capital-repayment date follows on November 9.
The record date is November 10, and the election period runs from November 11 through November 25. Prosus has set December 3 as the payment date. Transfers of N ordinary shares between the JSE and Euronext Amsterdam are restricted from November 6 through November 10 because of the different exchange calendars.
Investors should therefore distinguish the buyback signal from the distribution mechanics. The repurchase indicates continued capital deployment, while the exchange-specific timetable may affect the treatment and timing of shareholder returns. Neither announcement changes the underlying operating outlook for the portfolio businesses.
The real-time quote of Prosus stock provides the latest market indication, while the next material timetable point for shareholders is the election deadline on November 25.
The broader European equity market is the relevant backdrop for investors following Prosus, with current AEX market reports providing regional context.
