- Robert Q. Reilly will move into an executive vice chairman role and remain a strategic adviser to CEO William S. Demchak.
- Alexander E.C. Overstrom is set to become CFO after leading PNC's retail banking operations and corporate strategy work.
- The leadership change gives investors a new focal point for PNC's next phase of growth.
PNC will begin transitioning its chief financial officer role, the company said Thursday, November 5. Robert Q. Reilly will remain CFO until March 1, 2027, when he is scheduled to become executive vice chairman. Alexander E.C. Overstrom will then assume the CFO position, according to PNC's announcement.
Reilly will serve as a senior executive adviser to Chairman and CEO William S. Demchak after leaving the CFO post. His responsibilities will include advising on strategic initiatives and operating priorities and supporting stakeholder engagement with clients.
Leadership change follows expansion
Reilly joined PNC in 1987 and became CFO in 2013. During his tenure, PNC completed the acquisition of BBVA USA in June 2021 and bought Colorado-based FirstBank Holding Company, including FirstBank, in January 2026.
Demchak said Reilly had helped guide PNC through challenging periods and pivotal transactions. The new role is intended to retain that experience as the bank advances its strategy and expansion. Reilly said he would approach the executive vice chairman position with the same enthusiasm he brought to the CFO role.
Overstrom has led PNC's Retail Banking division since 2022. His responsibilities have included consumer and small-business banking, home lending, consumer lending, payments and digital operations, PNC Wealth Management, customer advocacy and corporate strategy.
Before joining PNC in 2014, Overstrom spent eight years at Goldman Sachs in firmwide strategy and investment banking. At PNC, he has also led Merchant Services, served as chief operating officer of Corporate and Institutional Banking and Asset Management, and headed Aviation Finance.
What investors will watch next
The succession keeps the leadership transition within PNC's existing executive ranks while shifting the finance brief to a manager with retail and strategy experience. PNC said a permanent successor for its Retail Banking division would be named later.
