- Meituan is issuing senior notes maturing in 2031 and 2036 to refinance offshore debt and support general corporate purposes.
- The notes are offered only to professional investors, with interest payable twice a year.
- The transaction extends Meituan's financing schedule while leaving future interest costs and maturities in focus.
Meituan is extending its debt-financing schedule through 2036 after issuing two senior-note tranches, according to a November 4 report by FilingReader. The company plans to use the proceeds primarily to refinance existing offshore indebtedness and for general corporate purposes.
Two tranches set separate maturities
The issue comprises CNY 4.5 billion of senior notes carrying a 2.50% coupon and maturing in 2031, alongside CNY 3.5 billion of 3.10% senior notes due in 2036. Both tranches were issued at par, with interest accruing from November 3, 2026, and payable semi-annually.
The structure separates Meituan's refinancing needs across two maturities five years apart. The longer-dated tranche carries the higher coupon, reflecting the additional duration investors are accepting. The notes are senior unsecured obligations rather than equity, so the transaction does not directly increase the share count.
Hong Kong listing targets professionals
Meituan has applied to list the notes on The Stock Exchange of Hong Kong Limited for professional investors only. The financing therefore broadens the company's debt-market access while keeping the immediate focus on refinancing existing offshore obligations. Expected ratings cited in the report are Baa1 from Moody's and BBB+ from both S&P and Fitch.
Investors will focus on the debt being refinanced, the eventual interest burden and Meituan's ability to manage maturities through 2031 and 2036. The transaction offers a clearer funding horizon, but it also adds fixed payment obligations that remain relevant alongside the company's operating performance.
