- Marvell agreed to acquire Lumentum in an all-stock transaction with an implied enterprise value of USD 115 billion.
- The combined company is expected to target a USD 550 billion market and more than USD 1 billion in annual run-rate cost synergies.
- Completion is expected in the first half of calendar year 2028, subject to shareholder and regulatory approvals.
Marvell Technology and Lumentum announced on Monday, November 2, 2026, that they had entered into a definitive agreement for Marvell to acquire the optical-components maker in an all-stock transaction. The announcement marks a shift from the takeover talks reported in late October to a signed deal, according to the Marvell investor release.
Marvell Technology stock traded at EUR 163.89 on Lang & Schwarz at 17:06 CET on Monday, November 2, 2026. That was 17.21 percent below the EUR 197.95 quote in the latest relevant own report from October 29. The decline since that report is a separate comparison from the daily Xetra close.
Terms place scale against dilution
Lumentum shareholders will receive 4.500 Marvell shares for each Lumentum share. The agreement implies an enterprise value of USD 115 billion for Lumentum, or approximately USD 1,132 per Lumentum share, based on the companies' unaffected closing prices on October 28.
After completion, Marvell shareholders are expected to own approximately 67 percent of the combined company on a fully diluted basis, while Lumentum shareholders would hold about 33 percent. The boards of both companies unanimously approved the transaction.
AI connectivity is the strategic rationale
The companies said the combination would unite Marvell's electrical and optical interconnect, switching and custom silicon capabilities with Lumentum's lasers, optical transceivers, optical circuit switching and compound-semiconductor manufacturing. Marvell expects the combined portfolio to address connectivity requirements from distributed data centers to advanced semiconductor packages.
The transaction is expected to expand the combined company's total addressable market to USD 550 billion. Management also sees more than USD 1 billion in annual run-rate cost synergies and expects the deal to be accretive to Marvell's non-GAAP earnings per share in the first year after closing. These are company projections rather than completed results.
Closing remains a longer-term catalyst
Completion is expected in the first half of calendar year 2028, subject to shareholder votes, regulatory approvals and other customary conditions. Matt Murphy is expected to remain chairman and chief executive, while three Lumentum directors, including CEO Michael Hurlston, are expected to join Marvell's board.
For investors, the fixed share exchange ratio leaves the effective transaction value exposed to Marvell's share price until closing. The combination offers broader AI connectivity exposure, but execution, regulatory approval and integration remain material conditions for the projected synergies.
