Marvell Technology stock faces a major strategic test after the planned Lumentum combination. The transaction targets broader AI connectivity markets.

Deal reshapes Marvell's AI strategy

  • Marvell plans to combine its electrical connectivity and custom silicon portfolio with Lumentum's optical and photonic technologies.
  • Lumentum shareholders would own about one-third of the combined company after the transaction closes.
  • The companies expect more than 1 billion US dollars in annual run-rate cost synergies and first-year non-GAAP earnings accretion for Marvell after closing.

Marvell Technology and Lumentum announced on Monday, November 2, 2026, that they had entered into a definitive agreement to combine in an all-stock transaction. The announcement, published by Marvell Investor Relations, puts the implied enterprise value of Lumentum at 115 billion US dollars.

Under the agreed terms, Lumentum shareholders will receive 4.500 Marvell shares for each Lumentum share. The fixed exchange ratio would leave current Marvell shareholders with about 67 percent of the combined company on a fully diluted basis, while Lumentum shareholders would hold about 33 percent.

A broader AI connectivity portfolio

The proposed combination links Marvell's electrical and optical interconnect, network switching, custom XPU and advanced semiconductor capabilities with Lumentum's high-performance lasers, optical transceivers, optical circuit switching and specialized compound-semiconductor manufacturing. The companies say the combined portfolio is intended to support more integrated optical solutions across data centers and advanced semiconductor packages.

Marvell said the transaction could expand the combined company's total addressable market to 550 billion US dollars. Management also cited more than 1 billion US dollars in annual run-rate cost synergies and expects the deal to improve the combined company's long-term revenue and non-GAAP margin profile. Marvell expects the transaction to be accretive to non-GAAP earnings per share in the first year after closing.

Marvell Chairman and CEO Matt Murphy described optical connectivity as a structural shift in AI infrastructure. He is expected to remain chairman and CEO of the combined company. Lumentum CEO Michael Hurlston said the transaction should give the group greater scale to address rising AI data traffic and customers' demand for integrated connectivity solutions.

Approval process extends into 2028

The agreement was unanimously approved by both boards, but it remains subject to shareholder votes, regulatory approvals and other customary closing conditions. The companies expect closing in the first half of calendar year 2028. Until then, the two businesses will continue to operate separately.

In connection with the announcement, Marvell also reported preliminary fiscal third-quarter 2027 revenue consistent with its previous guidance. The company kept the midpoint unchanged while narrowing the expected range to plus or minus 2 percent from the original plus or minus 5 percent. The preliminary figure remains unaudited and is subject to completion of the quarter-end close.

US technology shares remain sensitive to expectations for artificial intelligence infrastructure investment and semiconductor demand; investors can follow the S&P 500 market environment.

The next major milestones are the shareholder and regulatory reviews, followed by the planned closing window in the first half of 2028. Until those approvals arrive, the fixed exchange ratio leaves Marvell shareholders exposed to execution, integration and deal-completion risks alongside the potential strategic benefits.
