- Marvell is reportedly considering a strategic combination with Lumentum to expand its optical presence in AI infrastructure.
- Neither company has confirmed an agreement, and financing, structure and timing remain unresolved.
- Lumentum's optical components serve communications networks and data centers facing stronger demand from AI workloads.
Marvell Technology is in advanced talks to acquire Lumentum, Reuters reported on Wednesday, October 28, in a story published by The Edge Malaysia. The report said a transaction could be announced as soon as the following week, but the source familiar with the discussions gave no assurance that the companies would reach an agreement.
The report followed an earlier Bloomberg account and said neither Marvell nor Lumentum had immediately responded to requests for comment. No purchase price, exchange ratio, financing plan or other transaction terms have been disclosed. That leaves investors unable to determine whether any eventual offer would provide a premium or how much ownership Lumentum shareholders might receive in a combined company.
Optical Capacity Drives Strategic Interest
Lumentum develops optical and photonic technologies for communications networks, data centers and other infrastructure, according to the company's investor relations overview. Its products include lasers, optical modules and subsystems used to move data across high-capacity networks.
Reuters reported that the potential acquisition would deepen Marvell's push into optical technology used in artificial-intelligence infrastructure. Marvell already supplies custom AI chips and networking products to data-center customers, while Lumentum would add manufacturing capacity and optical components to that portfolio. The strategic logic is therefore tied to the need for faster data transmission as AI workloads expand, rather than to a confirmed corporate action.
Marvell raised its fiscal 2028 revenue forecast earlier in October to 20 billion US dollars from 15 billion US dollars, Reuters reported. The same report said Marvell held 3.92 billion US dollars in cash and cash equivalents at the end of its latest quarter, a relatively small liquidity position compared with the reported roughly 83 billion US dollar valuation for Lumentum. Bernstein analysts cited financing needs and integration risks as potential challenges for a transaction of that scale.
Market Still Awaits Firm Terms
The lack of a signed agreement keeps the situation dependent on negotiations. A formal announcement would need to clarify the consideration, the treatment of Lumentum's operations and the path through regulatory review. Until then, the reported talks offer a strategic narrative but not a defined takeover value for shareholders.
