- Tata Motors holds 89.42 percent of Iveco Group's common share capital net of treasury shares.
- The October 30 release says shares tendered during the November reopening will settle on November 13.
- Iveco's third-quarter revenue rose 1.4 percent, while adjusted EBIT fell to 30 million euros.
Iveco Group faces a post-takeover milestone on Friday, November 13, when shares tendered during the reopened offer are scheduled to settle. The date is set out in an Iveco Group announcement published on October 30.
The offer was priced at 14.4 euros per common share in cash, including the dividend. The same release said TML CV Holdings held 238,157,212 shares, equivalent to 89.42 percent of Iveco Group's common share capital net of treasury shares, after the initial settlement.
Takeover settlement meets weaker earnings
The November 13 settlement follows the five-day reopening of the acceptance period, which ran from November 2 through November 6. For remaining shareholders, the scheduled settlement is the next concrete step in Tata Motors' takeover of the commercial-vehicle group.
The operating backdrop is more challenging. In its November 3 third-quarter release, Iveco Group reported consolidated revenue of 3.16 billion euros, up 1.4 percent from the prior-year quarter. Adjusted EBIT fell to 30 million euros from 111 million euros, while Industrial Activities adjusted EBIT was nil.
Management attributed the pressure to continued quality initiatives, an unfavorable product mix and inflation. The company expects profitability to recover in the fourth quarter of 2026 and anticipates solid Industrial Activities free cash flow generation in the final quarter, in line with normal seasonality.
The real-time quote of Iveco stock was 14.28 euros on Lang & Schwarz at 18:09 CET on Sunday, November 8, 2026.
