Intesa Sanpaolo stock clears MPS control hurdle as vote opens path

- ECB and Bank of Italy authorisations removed important regulatory obstacles to Intesa Sanpaolo's planned control of MPS.
- MPS shareholders rejected a rival defence plan, clearing a path for the offer while antitrust approval remains outstanding.
- The offer process still requires publication of the offer document before shareholders can tender their shares.
Intesa Sanpaolo's planned control of Monte dei Paschi di Siena moved closer on Thursday, October 29, after MPS shareholders rejected a defence plan designed to counter the Italian bank's takeover bid. The vote followed regulatory authorisations received earlier in the week and leaves the transaction facing further procedural and competition hurdles.
On October 27, Intesa Sanpaolo said the company's press release that the European Central Bank had authorised the acquisition of a direct controlling stake in MPS. The approval also covered indirect controlling stakes in several MPS-related institutions, including Mediobanca, while the Bank of Italy authorised additional indirect holdings.
Shareholder Vote Clears A Path
Reuters, in a report published by AOL, said shareholders voted down MPS Chief Executive Luigi Lovaglio's proposed defence plan. Investors holding around 60 percent of MPS share capital opposed the plan, while the combined holdings of the Del Vecchio and Caltagirone families amount to roughly 30 percent.
The rejected plan included proposed all-share acquisitions of Banco BPM and Banca Generali, which Reuters said were valued together at 34 billion euros. Intesa had threatened to withdraw if the rival transactions were approved. The vote therefore removes one direct obstacle to the takeover proposal, although it does not complete the offer or transfer control of MPS.
Intesa's offer remains tied to the Italian regulatory process. The company said its October 27 announcement was a prior authorisation and that the tender process would require publication of an offer document and an EU follow-on prospectus before the acceptance period begins. Reuters reported that the transaction still faces a critical antitrust decision, expected next month.
Stock Tracks The Pending Process
Intesa Sanpaolo stock traded at 5.91 euros on Lang & Schwarz at 10:44 CET on Friday, October 30, 1.01 percent below the Xetra close of Thursday, October 29. Investors therefore continue to weigh the strategic opportunity of a larger Italian banking group against execution, regulatory and competition risks.
The real-time quote of Intesa Sanpaolo stock provides the latest trading indication. The next decisive milestones are the remaining regulatory decisions, publication of the offer documents and the opening of the acceptance period.
