Hexagon completed its acquisition of Waygate Technologies from Baker Hughes on Monday, November 2, 2026, according to Hexagon's announcement. The transaction expands the group's industrial inspection portfolio and marks the start of a new integration phase for Manufacturing Intelligence.
Hexagon stock traded at 9.74 euros on Lang & Schwarz at 17:36 CET on Friday, November 6, 2026. That compares with 9.87 euros cited in the company's October 27 report, a decline of 1.32 percent between the two reports.
Waygate broadens industrial inspection
Waygate brings industrial radiography, computed tomography, remote visual inspection, ultrasonic testing and imaging solutions to Hexagon. The acquired business has approximately 1,500 employees across 25 locations and generated approximately 630 million US dollars in fiscal 2025.
Waygate was consolidated from November 1 and will operate within Hexagon's Manufacturing Intelligence Business Area. Hexagon said the combination with Volume Graphics software and its metrology portfolio creates a broader inspection and quality offering across the product lifecycle.
Margins become the integration test
The acquisition initially dilutes the Manufacturing Intelligence margin by approximately 300 basis points and the group margin by approximately 150 basis points on a fiscal 2025 pro forma basis. Hexagon's stated objective is to lift Waygate's margins into the business area's 21 to 24 percent EBITAC target range through operating changes, local manufacturing, cross-selling and possible portfolio optimisation.
The transaction carries an enterprise value of approximately 1.45 billion US dollars. Hexagon is financing the cash consideration with cash and existing debt facilities, while estimated transaction, carve-out and integration costs total approximately 50 million euros. Pro forma leverage is approximately 1.4 times net debt to EBITDA based on third-quarter figures and the listed acquisitions.
