- Shareholders must decide on Anup Bagchi's appointment as director and managing director and chief executive officer.
- The proposed term runs from October 27, 2026, through October 26, 2029.
- The ballot also covers fixed pay, performance-linked compensation and share-based awards.
HDFC Bank stock traded at 22.50 euros on Lang & Schwarz at 09:40 CET on Friday, November 6, 2026. Shareholders are voting on Anup Bagchi's appointment as director and managing director and chief executive officer, with remote voting scheduled to close later on Friday.
The shareholder resolution and timetable are set out in FinancialFilings. Voting began on October 8 at 10:00 a.m. India Standard Time and is due to end at 5:00 p.m. on November 6. Members eligible to vote were identified using the October 2 cutoff date.
Leadership Term Awaits Shareholder Approval
Bagchi's proposed term covers three years from October 27, 2026, through October 26, 2029. The Reserve Bank of India approved the appointment on October 1, and HDFC Bank's board appointed Bagchi as managing director and chief executive officer on the same date, subject to member approval.
Bagchi became an additional director on October 2 to support the transition. The appointment follows Sashidhar Jagdishan's scheduled departure after his term ended on October 26. Approval of the resolution would remove the remaining shareholder condition attached to the leadership transition.
Proposed Pay Adds A Second Decision
The resolution also asks members to approve the terms of Bagchi's remuneration. The notice proposes annualized fixed pay of 897.44 million Indian rupees and target variable pay of 2.692 billion Indian rupees for the 2026-27 performance period. Proposed total compensation is 3.590 billion Indian rupees, with variable pay capped at 300 percent of fixed pay and subject to applicable regulatory approvals.
The variable package combines cash and share-linked instruments. The notice assigns 888.46 million Indian rupees to the cash component and 1.804 billion Indian rupees to employee stock options. It also proposes a one-time joining award comprising restricted stock units and employee stock options, with grants planned within 30 to 45 days after member approval and vesting over four years.
Result Is The Next Governance Milestone
The postal-ballot result and the scrutinizer's report are expected to be displayed within two working days after the e-voting period ends. If the required majority approves the resolution, Bagchi's appointment and the compensation framework will clear the outstanding shareholder condition.
